Roschier advised Arcus in cross-border merger with Altia

Norwegian Arcus ASA and Finnish Altia Plc have entered into a combination agreement in order to create a leading Nordic wine and spirits brand house named Anora Group Plc. The combination will be implemented as a cross-border merger, with Arcus merging into Altia. Roschier acted as advisor to Arcus as to Finnish law.

With a preliminary aggregated annual revenue of EUR 640 million and more than 1,000 professionals around the Nordics and Baltics, the combined company Anora Group Plc, headquartered in Helsinki, will be well positioned to offer deep consumer insights and accelerated product innovation.

Completion of the merger is conditional on approval of the respective EGMs of Altia and Arcus. It is expected to be completed during the first half of 2021, subject to regulatory approvals.
