Roschier advises Nokia in its acquisition of Infinera

Nokia has announced its acquisition of Infinera, a global supplier of innovative open optical networking solutions and advanced optical semiconductors. The acquisition, valued at $2.3 billion, strengthens Nokia’s optical position, specifically in North America, and accelerates Nokia’s customer diversification strategy, expanding webscale presence.
The acquisition has been unanimously approved by the board of directors of both Nokia and Infinera, and it is expected to close in the first half of 2025, subject to approval by Infinera’s shareholders, regulatory approvals including antitrust, CFIUS and other foreign direct investment approvals and other customary conditions.
Roschier’s team, consisting of Antti Ihamuotila, Seppo Kymäläinen, Mika Ohtonen, Andreas Bussman, Nina Koivisto, and Miia Saarinen acted as the Finnish corporate and structuring counsel in this complex acquisition. Additionally, the Roschier team, with Mikko Manner, Johanna Flythström, and Kaarina Lundell, served as the global lead IP counsel, supporting Nokia’s patent licensing business.
