Roschier represented KappAhl in connection with SEK 1.5 billion public takeover bid from Mellby Gård
KappAhl's main owner Mellby Gård AB made a public offer to tender all shares in KappAhl on 29 July 2019. The offer closed on 21 October 2019. Roschier represented KappAhl and its independent bid committee in the transaction.
The takeover bid of approximately SEK 1.5 billion gives Mellby Gård, already main owner of KappAhl, more than 90 percent of the shares and votes in KappAhl. The outcome was announced and the offer closed on 21 October 2019.
KappAhl AB (publ) is a leading Nordic fashion chain with approximately 272 stores in Sweden, Norway, Finland and Poland. Mellby Gård AB is KappAhl’s main owner. It is a family-owned, private investment company that endeavors to preserve the entrepreneurial spirit of its portfolio companies. A basic part of the business model is to be the largest shareholder in each company.
